LOS ANGELES (Reuters) – Marvel Entertainment Inc (MVL.N) would have to pay the Walt Disney Co (DIS.N) a termination fee of $140 million if it terminates a proposed merger with Disney, according to a securities filing on Friday.
The $4 billion merger agreement, announced on Monday, contains termination rights for Disney and Marvel, including Marvel’s right to stop the merger to pursue a “superior deal,” the Securities and Exchange Commission filing by Marvel said.
Marvel has agreed, however, not to solicit other merger offers, the filing said. It may be required to pay Disney a termination fee of $140 million under “specified circumstances,” the filing said.

According to the parks, Terence is ‘a dust-keeper in the magical Pixie Dust Tree. Though he loves to have fun, he also is kind and thoughtful, and has great wisdom of the heart. Terence has a definite soft spot for Tinker Bell, and the two have become best friends.’

As part of its continuing effort to find and develop culturally and ethnically diverse talent and actors with disabilities, the Disney ABC Television Group’s Casting Project will hold its latest showcase featuring 12 promising actors. Walt — who had a love of nature since his youth in Marceline — also ventured into live-action documentaries during the ‘40s and early ‘50s. The first of these was a nature documentary, Seal Island, a 27-minute account of the seasonal habits of seals that won the 1949 Academy Award™ for best two-reel documentary. Later documentaries in the series, “TrueLife Adventures” continued to focus on nature, while “People and Places” highlighted peoples and destinations around the world.

Actress and star of ABC’s new comedy “Cougar Town,” Courteney Cox, will join the all-star lineup at “The ABCs of Disney,” a special presentation at the D23 EXPO, September 10, 3:00 p.m. at the Anaheim Convention Center arena.
Cox gained overnight fame as neurotic yet loveable Monica Gellar on the Emmy(r) Award-winning comedy “Friends.” The show also garnered Screen Actors Guild Award nominations for Outstanding Performance by an Ensemble in a Comedy Series from 1999-2004. In 1996 she starred in Wes Craven’s horror/comedy “Scream.” She went on to reprise her role two more times for the “Scream” trilogy. Additional film credits include “3000 Miles to Graceland,” “Mr. Destiny,” “Cocoon: The Return,” “Zoom,” “November,” “The Longest Yard” and “Barnyard.” Cox teams this season with “Scrubs” creator Bill Lawrence on the new ABC comedy “Cougar Town.” They serve as executive producers through their companies, Coquette and Doozer, respectively.
